As an audit firm, we audit companies across various industries with professional competence, flexibility, and personal commitment. In accordance with the Swiss Code of Obligations (CO), we distinguish between the ordinary audit of the financial statements — and, if applicable, the consolidated financial statements — and the limited statutory examination.
Companies that exceed the thresholds defined under Art. 727 para. 1 item 2 of the Swiss CO in two consecutive financial years are subject to an ordinary audit by a licensed audit expert.
If the requirements for an ordinary audit are not met, a company must undergo a limited statutory examination by a licensed auditor in accordance with Art. 727a of the Swiss CO.
If a legal entity controls one or more companies, it is obliged to prepare consolidated financial statements (group financial statements) if the size criteria pursuant to Art. 727 para. 1 no. 2 CO are exceeded in two consecutive financial years. The consolidated financial statements are subject to an audit by a licensed audit expert.

Companies founded with contributions in kind are subject to an audit of the incorporation report. A licensed auditor must confirm the completeness and accuracy of the incorporation report in accordance with Art. 635a of the Swiss Code of Obligations (CO).
As independent auditors, we support you during capital increases through contributions in kind, debt offsetting or equity conversion and ensure full compliance with all legal requirements specific to the chosen method of capital increase.
Capital reductions require precision and diligence. A licensed audit expert must confirm in writing that the creditors’ claims will be fully covered even if the share capital is reduced. As independent auditors, we guide you through the process and ensure that the reduction is carried out correctly and creditors’ interests are protected.
An essential element of mergers, demergers, and legal form conversions is the assessment of the fairness of the exchange ratio and the appropriateness of the underlying valuation method. As licensed audit experts, we support you in transactions governed by the Swiss Merger Act (FusG).
If the most recent annual accounts indicate a capital loss and the company does not have a statutory auditor, a limited statutory examination must be conducted before approval of the annual accounts by the general meeting (Art. 725a para. 2 CO). The Board of Directs is obliged to appoint a licensed auditor.
If overindebtedness criteria are met as defined in Art. 725b CO, interim financial statements must be prepared based on going concern and sale values. Both statements are subject to audit.
